Terms of Service
These Terms govern access to and use of the ProXP web application (the “Service”). By creating an account or using any portion of the Service, you agree to these Terms. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation and that it accepts these Terms.
1. Service Overview
ProXP enables professionals to publish project information, document their personal involvement, and share public portfolios. The Service is provided on an “as is” basis, primarily for informational and portfolio purposes. We may update, suspend, or discontinue any part of the Service at any time without prior notice. Continued use after an update constitutes acceptance of the revised Terms.
2. Eligibility & Account Security
You must be at least 16 years old to maintain an account. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Promptly notify us of any unauthorised use or security incident. We reserve the right to disable accounts that violate these Terms or compromise the security or integrity of the Service.
3. User-Generated Content
You retain ownership of the content you submit, including project descriptions, personal contributions, and links. By submitting content, you grant ProXP a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and distribute that content as needed to operate the Service. You represent that your content is accurate to the best of your knowledge and does not infringe any third-party rights, violate confidentiality obligations, or include unlawful material.
We may remove or restrict access to content that violates these Terms or applicable law. Although we do not routinely moderate content, we reserve the right to review submissions to investigate abuse, fraud, or security threats.
4. Acceptable Use
- Do not upload content that is unlawful, defamatory, or misleading.
- Do not attempt to gain unauthorised access to our systems or other user accounts.
- Do not use automated means to scrape or harvest data without written permission.
- Do not post confidential information unless you have express rights to do so.
- Respect the privacy and intellectual property rights of other users.
5. Third-Party Services
The Service integrates with third-party providers (including Google/Firebase services). Any third-party tools remain subject to their own terms. ProXP is not responsible for failures or outages caused by third-party providers, nor for any data they process independently.
6. Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROXP AND ITS OPERATORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES.
Our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us in the past six months, if any, or (b) AUD $100. Some jurisdictions do not allow limitations on implied warranties or liability; in such cases these limitations may not apply to you, but only to the extent prohibited by law.
7. Indemnity
You agree to indemnify and hold harmless ProXP, its operators, and their respective affiliates from any claims, losses, liabilities, damages, and expenses (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.
8. Termination
You may stop using the Service at any time. We may suspend or terminate your access for any reason, including a breach of these Terms, legal obligations, or security concerns. Upon termination, your right to access the Service will cease, but the sections of these Terms that by their nature should survive (e.g., ownership, disclaimers, limitation of liability) will remain in effect.
9. Governing Law & Disputes
These Terms are governed by the laws of Victoria, Australia, without regard to conflict-of-law principles. Any disputes will be resolved exclusively in the state or federal courts located in Melbourne, Victoria. You consent to personal jurisdiction in those courts.
